Terms of Service

Welcome to Weaverbird. These Terms of Service (“Terms”) govern your access to and use of the websites, forms, tools, programs, events, networks, and other services offered by Weaverbird LLC (“Weaverbird,” “we,” “our,” or “us”) (collectively, the “Services”).

The Services may include opportunities to submit projects or requests for support, participate as a service provider or ecosystem partner, receive potential matches or introductions, access resources, attend events, and participate in other Weaverbird programs or offerings.

By accessing or using the Services, including by submitting information through a Weaverbird form, you agree to these Terms. If you do not agree to these Terms, please do not use the Services.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to use the Services.

If you use the Services on behalf of a company, organization, or other entity, you represent that you have the authority to act on its behalf and to provide any information you submit to Weaverbird.

2. Accounts and Information You Provide

You may use certain Weaverbird Services without creating an account. Some current or future Services may require registration or an account.

When you provide information to Weaverbird, you agree to provide information that is accurate and complete to the best of your knowledge and to update it when reasonably necessary.

If you create an account:

• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for activity conducted through your account.
• You agree to notify Weaverbird if you become aware of unauthorized access to or use of your account.

You are responsible for ensuring that you have the right and authority to provide any information or materials you submit through the Services.

3. Acceptable Use

You agree to use the Services only for lawful and legitimate purposes and in a manner consistent with these Terms.

You may not:

• Provide information that you know to be false, fraudulent, misleading, or unlawfully obtained.
• Use the Services to harass, discriminate against, threaten, or harm another person or organization.
• Send spam or other unauthorized solicitations through the Services.
• Scrape, harvest, systematically extract, or collect information from the Services without Weaverbird’s prior written permission.
• Attempt to gain unauthorized access to the Services, associated systems, or nonpublic information.
• Interfere with, disrupt, damage, or misuse the Services.
• Use information obtained through the Services in violation of applicable law, confidentiality obligations, intellectual property rights, or these Terms.

Weaverbird may restrict, suspend, or terminate access to the Services if we reasonably believe these Terms have been violated or the Services are being misused.

4. Project Matching and Introductions

Weaverbird helps companies and other innovators identify and connect with service providers, research institutions, laboratories, manufacturers, technical experts, ecosystem organizations, and other potential partners (collectively, “Providers”) that may be able to support technical, commercialization, testing, prototyping, manufacturing, scale-up, or related needs.

Project Submissions

Companies and other users may submit information about a project, challenge, or need through the Services. Weaverbird may review submitted information to understand the request, identify potential matches, evaluate fit, and facilitate introductions.

Submitting a project does not guarantee that Weaverbird will identify a suitable Provider, that a Provider will express interest, that an introduction will occur, or that any resulting engagement will be successful.

Matching

Weaverbird may identify one or more potential Providers based on information submitted by companies and Providers, Weaverbird’s knowledge of the ecosystem, and other information reasonably available to us.

When appropriate, Weaverbird may provide multiple potential options and information about why those Providers may be relevant to a particular project. Matches are intended to help users identify potential resources and opportunities; they are not rankings, certifications, warranties, or guarantees of suitability.

Participation in the Weaverbird network does not guarantee a Provider referrals, projects, introductions, or preferential placement.

Introductions and Engagements

Weaverbird facilitates connections and introductions but does not control the decisions or conduct of companies, Providers, or other participants.

Unless Weaverbird expressly agrees otherwise in writing:

• Weaverbird is not a party to agreements, transactions, statements of work, contracts, or other arrangements between users and Providers.
• Users are responsible for evaluating potential Providers and conducting any technical, legal, financial, commercial, intellectual property, or other due diligence they consider appropriate.
• Each party is responsible for negotiating its own terms, pricing, confidentiality obligations, intellectual property arrangements, scope of work, and other conditions of an engagement.
• Any decision to communicate, collaborate, contract, exchange confidential information, or otherwise engage with another party is made at the user’s own discretion and risk.
• Weaverbird is not responsible for the performance, quality, safety, legality, conduct, representations, or business outcomes of a Provider, company, or other third party.

Weaverbird does not guarantee or warrant any Provider, company, product, technology, service, project, or business outcome solely because that person or organization participates in the Weaverbird network or is identified through the Services.

Technical and Facility Activities

Some engagements facilitated through Weaverbird may involve laboratory work, testing, prototyping, manufacturing, material handling, equipment use, or other technical activities. These activities are conducted independently by the companies, Providers, and facilities involved, not by Weaverbird.

The parties involved are responsible for evaluating and managing applicable safety, technical, regulatory, insurance, and compliance requirements. Weaverbird does not supervise or control work performed at third-party facilities or assume responsibility for their safety procedures, facilities, equipment, or technical activities.

5. Project Information, Confidentiality, and Sharing

Weaverbird recognizes that project submissions and Provider information may include commercially sensitive information. We aim to share information thoughtfully and only as reasonably necessary to operate the Services, evaluate potential matches, and facilitate introductions.

Project Information

When you submit a project or request for support, Weaverbird may review and use the information you provide to understand your needs, identify potential Providers, evaluate potential fit, and facilitate connections.

Weaverbird may share selected project information with Providers or other potential partners when reasonably necessary to evaluate whether they may be a suitable match. We may limit or summarize information shared during the initial matching process where appropriate.

Project submissions are not intended to function as public listings, and submitting information through the Services does not by itself authorize Weaverbird to publicly publish your complete submission.

Provider Information

Providers may submit information about their capabilities, facilities, equipment, expertise, project preferences, services, and other relevant information to help Weaverbird identify potential matches.

Weaverbird may use this information to evaluate potential matches and describe relevant Provider capabilities to companies or other users. Weaverbird may also identify participating Providers publicly, including on the Weaverbird website or in communications, where Weaverbird has permission to do so.

Nonpublic Provider information, including internal matching information and information designated or reasonably understood as confidential, will not be publicly disclosed except as reasonably necessary to provide the Services, with permission, or as otherwise described in our Privacy Policy.

Confidential and Sensitive Information

Unless Weaverbird has expressly agreed in writing to specific confidentiality obligations, use of the Services does not create a confidential, fiduciary, advisory, partnership, agency, or similar relationship between Weaverbird and a user.

You should not submit trade secrets, highly sensitive proprietary information, information subject to a nondisclosure agreement or other confidentiality restriction, or other information that you are not authorized to disclose.

If a potential match requires the exchange of confidential or proprietary information, the parties are responsible for determining whether a nondisclosure agreement or other confidentiality protections are appropriate before exchanging that information.

Use of Shared Information

Information received through Weaverbird in connection with a potential match may be used only for legitimate purposes related to evaluating, discussing, or pursuing that potential opportunity. It may not be misused, publicly disclosed, sold, harvested, or used for unrelated solicitation in violation of these Terms or applicable law.

6. Fees and Payment

Certain Weaverbird Services may be offered at no cost, while others may require payment.

Unless otherwise stated at the time of use, submitting a project or request for support through Weaverbird does not require a fee.

If Weaverbird offers paid Services, programs, events, subscriptions, memberships, or other offerings:

• Any applicable fees and payment terms will be disclosed before you purchase or enroll in the applicable offering.
• Payments may be processed through third-party payment providers and may be subject to their additional terms and privacy practices.
• Unless otherwise stated at the time of purchase, fees are non-refundable except as required by applicable law.
• Weaverbird may change fees or introduce fees for future Services or offerings. Any applicable fees will be disclosed before you incur a charge.

Participation in the Weaverbird network does not guarantee referrals, introductions, projects, business opportunities, or other outcomes, regardless of whether a participant has paid Weaverbird for any separate Service or offering.

7. Intellectual Property

Weaverbird Intellectual Property

The Services and materials created by Weaverbird, including Weaverbird’s name, branding, logos, website content, original resources, designs, software, databases, selection and organization of content, and other proprietary materials, are owned by Weaverbird or its licensors and are protected by applicable intellectual property laws.

Except as expressly permitted by Weaverbird, you may not copy, reproduce, modify, distribute, sell, license, republish, systematically extract, or create derivative works from Weaverbird’s proprietary materials for commercial purposes.

Nothing in these Terms transfers ownership of Weaverbird’s intellectual property to you.

Your Content and Submitted Information

You retain ownership of the information, materials, project descriptions, documents, and other content that you submit to Weaverbird (“Submitted Content”).

By providing Submitted Content, you grant Weaverbird a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and share that content only as reasonably necessary to provide, operate, administer, and improve the Services, including evaluating potential matches and facilitating introductions, and as otherwise described in our Privacy Policy or disclosed to you at the time of submission.

This license does not transfer ownership of your Submitted Content or underlying intellectual property to Weaverbird.

You represent that you have the rights and permissions necessary to provide the Submitted Content and to authorize Weaverbird to use it as described in these Terms.

Provider and Network Information

Information submitted by Providers regarding their capabilities, facilities, equipment, expertise, services, and project interests may be used by Weaverbird to operate the network, evaluate potential matches, facilitate introductions, and describe relevant Provider capabilities to users.

Participation in the Weaverbird network does not grant any user a right to access, copy, reproduce, scrape, download, systematically extract, or commercially exploit Weaverbird’s provider database, matching information, network data, or other nonpublic information.

Third-Party Content and Resources

Weaverbird may make available or reference resources, guides, tools, research, links, or other materials created by third parties. Unless otherwise stated, Weaverbird does not claim ownership of third-party materials, and all applicable rights remain with their respective owners.

Third-party materials may be summarized, referenced, linked to, reformatted, or otherwise presented through the Services where permitted by law or applicable license. Inclusion of third-party content does not necessarily constitute endorsement by Weaverbird.

If you believe material available through the Services infringes your intellectual property rights, please contact Weaverbird at kris@weaverbird.network.

8. Resources, Events, and Contributors

Weaverbird may provide or host resources, guides, templates, reports, presentations, workshops, events, discussions, or other educational and community-oriented content as part of the Services.

From time to time, Weaverbird may also feature or host mentors, advisors, speakers, experts, partners, or other contributors who share information, perspectives, experiences, or advice.

Unless expressly stated otherwise:

• Information provided through Weaverbird resources, events, or contributors is for general informational and educational purposes only.
• Views expressed by individual speakers, mentors, advisors, contributors, or participants are their own and do not necessarily represent the views of Weaverbird.
• Participation by a mentor, advisor, speaker, Provider, or other contributor does not constitute an endorsement or guarantee by Weaverbird.
• Weaverbird does not guarantee that information provided through these resources or activities is complete, accurate, current, or suitable for a particular purpose.
• Information provided through the Services does not constitute legal, financial, investment, tax, engineering, regulatory, or other professional advice unless expressly stated otherwise by an appropriately qualified professional acting in that capacity.
• You are responsible for conducting your own evaluation and obtaining appropriate professional advice before making decisions based on information obtained through the Services.

Weaverbird is not responsible for decisions, actions, or outcomes resulting from reliance on information provided through resources, events, discussions, or individual contributors, to the extent permitted by applicable law.

9. Communications and Newsletters

When you provide contact information to Weaverbird or use the Services, Weaverbird may contact you as reasonably necessary to provide and administer the Services. These communications may include confirmations, requests for additional information, updates regarding project submissions or potential matches, introductions, event or program information related to your participation, and other service-related communications.

Weaverbird may also offer newsletters, ecosystem updates, event announcements, and other promotional or informational communications. Where required by applicable law, these communications will be sent only with your consent.

You may unsubscribe from non-essential or marketing communications at any time by using the unsubscribe link included in the communication or by contacting Weaverbird.

Unsubscribing from marketing communications will not prevent Weaverbird from sending communications that are reasonably necessary to provide Services you have requested or to administer an ongoing relationship with you.

10. Photography, Recordings, and Media

Weaverbird may photograph, film, or record certain events, workshops, programs, or other activities for educational, community, archival, or promotional purposes.

When photography or recording is expected at a Weaverbird-hosted event, Weaverbird may provide notice through event materials, signage, announcements, or other reasonable means.

If you prefer not to appear in photographs or recordings, you may notify Weaverbird in advance or at the event, and we will make reasonable efforts to accommodate your request.

Weaverbird will seek additional permission where appropriate before using an individual’s name, likeness, interview, testimonial, or other contribution in a manner that specifically features or identifies that individual beyond general event documentation.

Separate terms, releases, or permissions may apply to speakers, presenters, interviewees, or other featured participants.

11. Conduct and Interactions

Weaverbird aims to foster respectful, professional, and productive interactions among companies, Providers, partners, contributors, and other participants in the Services.

When using the Services or interacting with others through a Weaverbird-facilitated connection, you agree to:

• Treat others with respect and professionalism.
• Not engage in harassment, discrimination, threats, abusive behavior, or other unlawful conduct.
• Accurately represent your identity, organization, affiliations, capabilities, and intentions.
• Respect the privacy, confidentiality, intellectual property, and commercially sensitive information of others.
• Use information received through Weaverbird only for legitimate purposes related to the interaction, opportunity, or potential collaboration for which it was provided.
• Not use Weaverbird-facilitated introductions or information for spam, unrelated mass solicitation, data harvesting, or other abusive or misleading purposes.
• Comply with applicable laws and any confidentiality or other agreements you enter into with another party.

Weaverbird may restrict or discontinue a participant’s access to the Services, decline to facilitate future introductions, or take other reasonable action if we believe that participant has violated these Terms, misused information received through Weaverbird, or engaged in conduct that could harm other participants or the integrity of the network.

Weaverbird does not control or assume responsibility for the conduct of users or third parties outside the Services, and users remain responsible for evaluating and managing their own interactions and business relationships.

12. Privacy

Weaverbird’s collection, use, storage, and sharing of personal information is described in our Privacy Policy.

By using the Services, you acknowledge that you have reviewed or had the opportunity to review the Privacy Policy.

Where consent is required for a particular use of personal information, Weaverbird will request that consent as appropriate.

If you submit personal information about another individual through the Services, you are responsible for ensuring that you have the appropriate authority or permission to provide that information.

13. Third-Party Services

Weaverbird may use, integrate with, or link to third-party services, platforms, websites, and tools in connection with the Services. These may include website hosting, forms, databases, communications, automation, analytics, event registration, payment processing, and other technology or service providers.

Your use of third-party services may be subject to separate terms, privacy policies, and practices established by those third parties.

Weaverbird does not control and is not responsible for the availability, security, content, accuracy, policies, or practices of third-party services that are not operated by Weaverbird.

Links to or integration with a third-party service do not necessarily constitute an endorsement of that third party.

To the extent Weaverbird uses third-party service providers to process personal information on its behalf, information about those practices is addressed in our Privacy Policy.

14. Disclaimers

To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

Weaverbird aims to provide useful information, thoughtful connections, and relevant potential matches, but we do not guarantee:

• That the Services will always be available, uninterrupted, secure, or error-free.
• That information provided by users, Providers, partners, or other third parties is complete, accurate, current, or reliable.
• That a potential match identified through Weaverbird will be suitable for a particular project or need.
• That any Provider or other participant has particular qualifications, capabilities, availability, capacity, financial condition, regulatory status, or ability to perform a proposed engagement.
• That a project submission will result in a match, introduction, collaboration, contract, funding opportunity, commercial outcome, or other result.
• The quality, safety, legality, performance, or outcome of services or work provided by a Provider or other third party.

Weaverbird may rely on information supplied by companies, Providers, partners, and other third parties when facilitating matches or introductions. Users remain responsible for independently evaluating potential counterparties, verifying information they consider material, and conducting appropriate due diligence before entering into an engagement.

Except as expressly stated in these Terms and to the fullest extent permitted by law, Weaverbird disclaims warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms excludes or limits any warranty, right, or protection that cannot lawfully be excluded or limited.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Weaverbird will not be responsible for indirect, incidental, special, or consequential losses arising from your use of the Services. This includes lost profits, lost business opportunities, loss of data, or similar losses.

Weaverbird is also not responsible for losses resulting from the actions, services, representations, or performance of companies, Providers, partners, or other third parties you connect with through Weaverbird. Any decision to enter into a business relationship, contract, or other arrangement with another party remains your responsibility.

To the fullest extent permitted by applicable law, if Weaverbird is found liable for a claim relating to the Services, Weaverbird’s total liability will not exceed the amount you paid directly to Weaverbird for the specific Service giving rise to the claim during the twelve (12) months before the claim arose.

Nothing in these Terms limits or excludes liability where doing so would be prohibited by applicable law.

16. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Weaverbird LLC and its officers, employees, contractors, and affiliates from claims, damages, losses, liabilities, and reasonable legal expenses arising from:

• Your violation of these Terms or applicable law.
• Information or materials you submit through the Services that infringe or violate another person’s rights.
• Your misuse of information obtained through Weaverbird.
• Your conduct in connection with a Weaverbird-facilitated introduction or relationship.

This obligation does not apply to claims resulting from Weaverbird’s own unlawful conduct or to the extent indemnification is prohibited by applicable law.

17. Suspension and Termination

You may stop using the Services at any time.

Weaverbird may suspend, restrict, or discontinue your access to or participation in some or all of the Services if we reasonably believe that you:

• Have violated these Terms or applicable law.
• Have misused the Services or information received through Weaverbird.
• Have provided materially false or misleading information.
• Have engaged in conduct that could harm Weaverbird, its participants, or the integrity of the network.

Weaverbird may also discontinue or modify any part of the Services at any time.

Ending your use of or participation in the Services does not affect provisions of these Terms that are intended to continue afterward, including provisions relating to intellectual property, confidentiality, limitations of liability, and indemnification.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles, except where applicable law requires otherwise.

If a dispute arises relating to these Terms or the Services, you and Weaverbird agree to first make a reasonable effort to resolve the dispute informally.

If the dispute cannot be resolved informally, any legal proceeding will be brought in a court of competent jurisdiction in the State of New York, unless applicable law gives you the right to bring the proceeding elsewhere.

Nothing in this section limits any rights or remedies that cannot be waived under applicable law.

19. Compliance with Applicable Laws

You are responsible for using the Services in compliance with the laws and regulations that apply to you and your activities.

Weaverbird will operate the Services in accordance with applicable laws and regulations. Additional information about how Weaverbird handles personal information and applicable privacy rights is provided in our Privacy Policy.

Nothing in these Terms limits any rights or protections that cannot be waived under applicable law.

20. Changes to These Terms

Weaverbird may update these Terms from time to time to reflect changes to the Services, our practices, or applicable legal requirements.

When we make changes, we will update the “Last Updated” date at the top of these Terms. If we make material changes, we may provide additional notice where appropriate, such as through the Services or by email.

Your continued use of the Services after updated Terms take effect means that the updated Terms will apply to your continued use of the Services, to the extent permitted by applicable law.
